Job Summary

Serve as Banking/Financing Legal Counsel in close partnership with corporate counsel, Finance, and deal teams in Paris. You will structure, draft, negotiate, and close non-dilutive financing documentation for corporate loans, asset-backed financings, and project finance supporting compute and data center investments. Act as the primary legal contact for banking counterparties using LMA-style documentation, coordinate multi-jurisdiction teams, and build financing legal templates and precedents.

Key Responsibilities

•Structure, draft, negotiate, and close non-dilutive financing documentation for corporate loans, asset-backed financings, and project finance deals supporting compute and infrastructure investments.
•Serve as the primary legal point of contact for banking and financing counterparties, working with LMA-standard documentation and bespoke structures.
•Advise on financing structures for data center and compute infrastructure projects and align financing solutions with Mistral’s capital strategy and operational needs.
•Coordinate cross-border financing matters, including managing multi-jurisdictional transaction teams with external law firms and supporting deal-specific financing structures for M&A and business teams.
•Build and maintain internal templates, precedents, and guidelines for financing documentation, and support ancillary legal topics such as corporate compliance, insurance, and Sapin II-related matters.

Key Requirements

•Bachelor degree or above in law (LLB, LLM, Juris Doctor preferred) from an accredited law school in France or another EU country.
•Minimum 7 years of relevant legal experience, including at least 4 years in an international law firm.
•Proven track record structuring and negotiating non-dilutive financing deals (corporate loans, bridge facilities, asset-backed and project finance), with familiarity with LMA-standard documentation.
•Strong experience in project finance or infrastructure financing, especially long-term capex and compute/data center infrastructure deals.
•Demonstrated ability to navigate cross-border structuring and multi-jurisdictional financing, coordinating with local external counsel; excellent English and French communication.
