Key Responsibilities

  • •Draft, review and negotiate a broad range of TOP contracts (ICT services, outsourcing, SaaS, intra-group arrangements), ensuring alignment with internal policies and regulatory requirements.
  • •Advise and collaborate with TPM, Procurement and business stakeholders on legal and regulatory risk, including outsourcing, operational resilience and AI-related considerations.
  • •Assess and determine applicability of regulatory frameworks (e.g., DORA, EBA outsourcing, data protection, AI regulation) and escalate material risks.
  • •Lead or support negotiations on complex vendor arrangements, including critical/important outsourcing and strategic vendor contracts.
  • •Develop and maintain standard templates, playbooks and guidance to improve consistency, efficiency and auditability of contract review processes.

Key Requirements

  • •Qualified lawyer with 5-8 years post-qualification experience, gained at a reputable law firm, bank or corporate institution.
  • •Experience drafting, advising on and negotiating ICT contracts, outsourcing, data protection, and TOP contracts; UK/EBA outsourcing knowledge and EU DORA exposure.
  • •Experience handling cross-border contracts and collaborating with global legal teams (e.g., Tokyo, the Americas).
  • •Experience advising on AI-enabled services, model risk and AI governance frameworks is desirable.
  • •Experience in financial services regulation and regulatory compliance related to outsourcing, data protection and operational resilience.
