  • •Lead M&A legal workstreams including due diligence, negotiations, drafting/reviewing transaction documents, and coordinating external advisors and internal stakeholders.
  • •Advise on international operations and expansion, including regulatory requirements and subsidiary formation.
  • •Oversee corporate entities, corporate records, and governance processes, including incorporation and ongoing management of global subsidiaries.
  • •Manage compliance, equity, litigation/dispute resolution, and intellectual property portfolio matters (trademarks, copyrights, patents), including external counsel and case strategy coordination.

Key Requirements

  • •Juris Doctor with active bar membership in Canada or the United States and at least 10 years of relevant experience, including time at a nationally recognized law firm; technology or SaaS experience preferred.
  • •Experience leading or supporting mergers and acquisitions, including due diligence, negotiations, transaction documentation, and post-closing integration.
  • •Strong corporate governance and securities-law knowledge, including entity management and experience preparing for or managing public company compliance.
  • •Experience advising on international expansion, including subsidiary formation and regulatory requirements across multiple jurisdictions.
  • •Experience managing external counsel and coordinating cross-functional teams on complex legal matters; excellent judgment and written/verbal communication.
