Key Responsibilities

  • •Provide legal advice on corporate governance, monitoring compliance with federal and state requirements and NYSE (or other) listing requirements and related disclosures.
  • •Lead corporate entity management for subsidiaries, including officer changes and annual officer elections through written consents, with counsel to meet jurisdictional reporting requirements.
  • •Work with the Financial Reporting team to prepare SEC filings (registration statements and Forms 10-K, 10-Q, 8-K) and manage Section 16 filings and Rule 10b5-1 trading plan documentation.
  • •Support sustainability reporting, including Irish statutory reporting and the voluntary annual sustainability report, and prepare/distribute the annual proxy statement.
  • •Advise Treasury on financing transactions and support governance for executive compensation programs, board/committee/shareholder meetings, and other assigned corporate matters.

Key Requirements

  • •J.D. degree from an accredited US or Canadian law school.
  • •Licensed in good standing to practice law in North Carolina, or eligible to practice as in-house counsel under North Carolina State Bar Rule 5.5(d).
  • •Minimum 5 years of related legal experience, including at least 3 years in an in-house legal role as a plus.
  • •Strong knowledge of federal securities laws and NYSE rules for listed companies.
  • •Familiarity with SEC EDGAR (including EDGAR Next), and Microsoft Office; Workiva WDesk suite is a plus.
