Key Responsibilities

  • •Draft, review, and negotiate commercial, vendor, professional services, technology/software, data, confidentiality, and strategic collaboration agreements.
  • •Advise cross-functional teams on contract structure and risk allocation, including liability, indemnification, insurance, intellectual property, publications, data security, payment, and termination terms.
  • •Draft and negotiate clinical trial and site agreements, amendments, MTAs, research and collaboration agreements, BAAs, and data-sharing terms; align scopes, budgets, payment terms, specimen use, publication rights, and IP provisions.
  • •Maintain and manage matters through the contract lifecycle (intake to signature to closeout) using contract lifecycle management and signature workflows, ensuring records are stored appropriately.
  • •Identify healthcare/privacy/compliance issues (including HIPAA and data security), provide practical legal recommendations, and coordinate with subject-matter experts and outside counsel as needed.

Pay and Benefits

Salary: USD 161,925 - 227,325 annually

Key Requirements

  • •J.D. from an accredited law school and active membership in good standing with at least one state bar (California preferred) or eligible for Registered In-House Counsel status.
  • •5+ years of relevant legal experience drafting and negotiating complex agreements, with in-house life sciences/healthcare experience strongly preferred.
  • •Experience across a varied agreement portfolio (e.g., MSAs, SOWs, vendor and technology agreements, NDAs, clinical trial agreements, MTAs, research collaborations, and data-related agreements).
  • •Working knowledge of life sciences and healthcare contracting, including clinical research, HIPAA, data privacy, information security, publications, and IP allocation.
  • •Hands-on experience with contract lifecycle management and electronic-signature systems, plus strong drafting, negotiation, project-management, and communication skills.
