Key Responsibilities

  • •Support M&A due diligence and deal structuring with computational analysis for US domestic and international tax provisions, including GILTI, subpart F, foreign tax credits, FDII, BEAT, and section 163(j).
  • •Manage M&A tax integration activities by coordinating and implementing tax restructuring plans, including employee and intangible property integration, contract migration, and intercompany billing arrangements.
  • •Manage income tax compliance for acquired entities, including preparation and filing of US federal income tax returns (short-period and annual filings), section 382 analyses, and transaction cost analysis.
  • •Monitor and coordinate local country tax compliance and reporting obligations for foreign acquired entities related to company M&A activities.
  • •Document tax exposures and positions, collaborate on tax planning and controversy documentation, and draft substantive responses to IRS Information Document Requests (IDRs).

Key Requirements

  • •5-7+ years of tax experience, preferably within Big 4 and/or in-house tax at a multinational corporation.
  • •CPA preferred.
  • •Strong understanding of income tax accounting under US GAAP (ASC 740) and experience with FIN 48 / ASC 740 analysis.
  • •Experience providing tax support (computational analysis/modeling) for tax planning, M&A, investments, including due diligence, structuring, and integration.
