Job Summary

Handle legal matters for the business by drafting, reviewing, and negotiating a range of commercial agreements and supporting contract negotiations with customers and vendors. Provide practical legal recommendations to address commercial risks and ensure compliance with PRC regulations and local laws. Support operations and strategic initiatives including transactions, E&O matters, dispute resolution, and employment law, partnering with cross-functional teams and the China Legal Lead.

Key Responsibilities

•Draft and review commercial agreements, including service agreements, proposals, NDAs, RFP/RFI materials, employment, and licensing.
•Participate in client contract negotiations as needed and ensure alignment with internal contracting requirements and risk mitigation requirements.
•Collaborate with internal teams (operations, business development, finance, HR, IT) to draft/review SOW and support key strategic business initiatives.
•Analyze legal issues related to commercial risks and provide clear recommendations and practical counseling for PRC legal compliance.
•Coordinate legal advisory support for operations including M&A, joint ventures, new business setup, liquidation/dissolution, E&O matters, dispute resolution, and employment law matters.

Key Requirements

•A Law degree from a recognized law school with excellent academics.
•At least 3 years of working experience in China legal areas.
•Certificate from the Chinese Bar (and other jurisdiction preferred).
•Proficiency in Chinese and spoken and written English.
•Excellent communication and interpersonal skills to interact effectively at all levels.
