Key Responsibilities

•Lead governance and structuring decisions for each new direct entity launch, determining corporate form, ownership structure, and licensing pathway by jurisdiction.
•Execute entity launch work end-to-end, coordinating filings, registered agents/local service providers, director/officer appointments, and bank and licensing paperwork.
•Conduct jurisdiction-specific legal and regulatory research to identify entity, licensing, and governance requirements ahead of each launch.
•Draft, review, and maintain corporate documentation and governance records (formation documents, board minutes, governance policies, powers of attorney) for audit-ready frameworks.
•Partner with Global Expansion teams to sequence and de-risk launches against an aggressive project timeline, then document repeatable processes for handoff to ongoing entity maintenance.

Pay and Benefits

Salary: EUR 105,000 - 125,000 annually

Key Requirements

•7+ years of experience in corporate governance, entity formation, and multi-jurisdictional entity management, ideally in SaaS/tech or EOR/HR-tech environments.
•Hands-on experience personally establishing and maintaining corporate entities across multiple jurisdictions, including filings, registered agents, and licensing applications.
•Experience working directly with external counsel, corporate secretarial providers, regulators, and registered agents across multiple jurisdictions.
•Comfort holding a power of attorney for directors/officers where needed.
•Ability to operate autonomously in a fast-moving, ambiguous, high-stakes project and be available for an 11-month fixed-term engagement.
