Key Responsibilities

  • •Lead preparation of board and committee materials, including agendas, presentations, minutes, and resolutions.
  • •Manage stockholder consents and notices, including vote threshold analysis, and support annual stockholder meeting execution.
  • •Develop and review securities disclosures and investor reporting, including disclosure controls and information governance/communications protocols.
  • •Advise on insider trading policies and equity transaction reporting for directors, officers, and key stakeholders.
  • •Provide cross-coverage for capital markets transactions, including equity/debt offerings, from diligence through closing and post-closing compliance support.

Key Requirements

  • •Juris Doctor (JD) from an accredited law school and active membership in good standing in at least one U.S. state bar.
  • •4-7 years of corporate and securities experience at a top-tier law firm focused on corporate governance, securities compliance, and regulatory reporting.
  • •Deep expertise in board/stockholder governance, securities disclosure obligations, and insider trading compliance.
