Job Summary

Support Turner & Townsend in the US across corporate governance, regulatory compliance, and corporate contracts. Partner with Operations, Central Services, and Risk Management to draft resolutions and maintain corporate records, monitor corporate law changes, and manage FOIA-related matters. Draft, review, and negotiate key agreements (including government/public sector contracts, leases, and SaaS), support standard contracting templates, and handle disputes such as subpoenas, depositions, and litigation coordination.

Key Responsibilities

•Support corporate governance and regulatory compliance by managing corporate forms/filings and business/professional licensing and registrations, ensuring compliance with federal, state, and local law.
•Draft corporate resolutions, organize board meetings, maintain corporate records, advise directors on governance obligations, and monitor relevant corporate law and regulatory changes.
•Handle corporate law matters including FOIA requests and other matters relating to federal agency records.
•Draft, review, and negotiate contracts with emphasis on government/public sector agreements (client/vendor contracts, leases, joint ventures, and SaaS), including support on RFPs/RFQs and pre-qualifications.
•Support dispute resolution by managing claims and disputes, handling subpoenas and depositions, and representing Turner & Townsend at court hearings alongside external counsel when required.

Key Requirements

•Qualified Attorney with current Bar admission and in good standing.
•5–7 years of US corporate law and government/public sector contract experience, including public sector procurement, FOIA requests, and FedRAMP compliance.
•Strong foundational knowledge of corporate law, including IP rights, commercial law, legal research, and jurisdictional legislative requirements.
•Experience with litigation and dispute resolution, including working with external counsel as needed.
•Excellent written and oral communication skills, strong analytical/problem-solving skills, and the ability to work across time zones when necessary.
