Key Responsibilities

  • •Draft financial statement sections of registration statements (financial statements, footnotes, MD&A, supporting schedules) and run tie-out processes behind auditors’ comfort letter.
  • •Build and run quarterly/annual SEC reporting process (10-Q, 10-K, 8-K, proxy) including close-to-file calendar, disclosure checklists, and XBRL tagging; own age-of-financial-statements limits.
  • •Own technical accounting positions (excluding revenue recognition), including stock compensation and pre-IPO equity valuation (ASC 718), EPS (ASC 260), segments (ASC 280), internal-use software (ASC 350-40), business combinations (ASC 805), debt (ASC 470), leases (ASC 842), related party transactions, and contingencies (ASC 450 and 460).
  • •Own credit and financing accounting questions for warehouse/securitization facilities (ASC 860), consolidation/VIE analysis (ASC 810), and fair value measurement/elections (ASC 820 and 825).
  • •Set up disclosure committee and sub-certification process behind SOX 302 certifications; partner on reporting controls and define non-GAAP measures and reconciliations (Reg G and Item 10(e)).

Salary: USD 167,000 - 215,000 annually

Key Requirements

  • •8+ years across Big 4 public accounting and in-house SEC reporting or technical accounting.
  • •CPA required with deep knowledge of US GAAP and SEC reporting rules, including Regulation S-X and S-K.
  • •Have personally drafted 10-Ks and 10-Qs, and ideally an S-1 or IPO experience.
  • •Comfortable with pre-IPO equity accounting (options/RSUs) including ASC 718, and related topics like 409A/cheap stock and EPS on preferred conversion.
  • •Strong research and memo-writing skills, with the ability to defend positions to auditors.
