Job Summary

Senior governance lead responsible for managing the Corporate Secretariat, supervising Executive and Supervisory Board processes, ensuring regulatory compliance (KWG, AnzV, AktG, HGB, MaRisk, ECB/EA guidelines), and coordinating board activities, minutes, and regulator communications. Acts as liaison to independent board members and oversees fit & proper assessments and governance governance pathways within SMBC Group in Frankfurt.

Key Responsibilities

•Manage day-to-day activities of the Corporate Secretariat and corporate housekeeping.
•Oversee processes for the Executive and Supervisory Boards (including committees) and advise Chairs on procedural and governance matters to ensure compliance with laws and regulations.
•Coordinate meeting calendars and ensure timely circulation of agendas, reports and minutes; monitor follow-ups and regulator notifications.
•Act as liaison between independent Supervisory Board members and executive function holders; ensure effective communication with regulators and external stakeholders.
•Oversee fit & proper assessments of Board members and Key Function Holders in line with CRD VI/KWG requirements and ECB/NCAs expectations.

Key Requirements

•8-10 years’ experience in the financial sector focused on corporate law and governance (German and EU context)
•In-depth knowledge of regulatory framework (KWG, AnzV, AktG, HGB, MaRisk, relevant EBA & ECB Guidelines)
•German Bar Exam preferred; or equivalent EU law degree with adequate experience
•Excellent interpersonal and communication skills with ability to engage with senior stakeholders and regulators
•Experience in team management and business fluent English and German
