Key Responsibilities

  • •Support U.S. securities law matters, including preparation and review of SEC filings (Forms 10-K, 10-Q, 8-K), registration statements, proxy statements, and annual reports.
  • •Advise on corporate governance, including board/committee agenda, materials, and minutes/resolutions, and maintaining corporate governance documents and policies.
  • •Advise on executive compensation and equity-related disclosures.
  • •Provide legal support for public disclosures and stockholder engagement, and support finance/treasury activities including capital market transactions, credit facilities, and stock buyback programs.
  • •Support insider trading compliance and reporting (Section 16 filings, 10b5-1 plans) and oversee subsidiary management matters, including entity maintenance, formation, restructurings, and intercompany agreements.

Pay and Benefits

Salary: USD 195,300 - 367,950 annually

Key Requirements

  • •J.D. from a leading law school/university, plus at least 12 years of relevant experience in public company securities reporting, corporate governance, and executive compensation.
  • •Experience at a top law firm and/or in-house legal department supporting public company securities disclosure and reporting.
  • •Strong relationship management skills, building partnerships across functions and with key external collaborators.
  • •Strategic problem-solving and sound legal/business judgment with high integrity and ethical behavior.
