Key Responsibilities

  • •Provide strategic corporate law advice and commercially-focused solutions across general corporate law and corporate governance for group and subsidiaries.
  • •Advise on capital markets and disclosure matters, including periodic/ad hoc disclosure obligations, market abuse/inside information controls, and corporate/securities law for a dual-listed structure.
  • •Support capital raising and treasury activity, including equity matters and debt programmes, working with Investor Relations, Treasury, and group Finance.
  • •Lead and support reorganisations and corporate development from structuring and drafting through negotiation and completion.
  • •Prepare, review, and negotiate corporate agreements and documents; manage external counsel/suppliers and mentor/upskill the Legal team and wider business.

Key Requirements

  • •8+ years PQE and qualified lawyer in England and Wales (or another common law jurisdiction).
  • •Background advising on corporate and corporate governance rules and regulations, coordinating corporate transactions across UK (and ideally EU and/or US) in private and listed environments.
  • •Experience or strong interest in capital markets and group disclosure obligations for listed/publicly traded groups.
  • •Aptitude for corporate and commercial drafting, structuring, and negotiation, with excellent legal drafting and interpretation skills.
  • •In-house or top-tier law firm experience, plus the ability to distil complexity and clearly communicate practical, risk-based solutions.
