Key Responsibilities

  • •Provide day-to-day legal support for the alternative investments business, advising on formation, structuring, offering, governance, and ongoing maintenance of private funds and related products.
  • •Draft, review, and negotiate fund documentation, side letters, subscription materials, investment management agreements, distribution-related agreements, and other related agreements while balancing legal, regulatory, operational, and reputational risk.
  • •Partner with legal colleagues and other functions (compliance, risk, operations, finance, tax, investor relations, and business leadership) to develop practical solutions for complex alternative investment product and advisory issues.
  • •Coordinate with internal and external counsel on matters involving the Investment Advisers Act of 1940, private fund requirements, offering and disclosure matters, and applicable U.S. and non-U.S. regulatory regimes.
  • •Monitor regulatory and legal developments affecting private funds and translate them into actionable guidance for the business; handle a portfolio of moderate to highly complex legal matters.

Key Requirements

  • •J.D. from an accredited School of Law and admission to the MD State Bar (or another state bar), plus at least 8+ years of relevant legal experience.
  • •Experience working for or in a regulated financial institution, investment manager, private fund sponsor, or law firm supporting asset management/alternative investments with familiarity of relevant federal securities and investment adviser regulatory frameworks.
  • •Experience with private funds, alternative investments, and in-house or relevant practice area experience (preferred: 5+ years).
  • •Experience drafting and negotiating private fund documentation, side letters, subscription materials, and investment management agreements for alternative investment products and institutional investors.
  • •Demonstrated ability to work effectively with compliance, risk, operations, tax, and business teams in a fast-paced alternative investments environment.
