Key Responsibilities

  • •Provide business and legal advice to business stakeholders.
  • •Frame, draft, review, and negotiate complex IP, commercial, and transaction agreements, including IP licensing and joint development/collaboration agreements.
  • •Counsel sales and other stakeholders on contract provisions and implications, assessing and mitigating legal/business risks.
  • •Partner with other Legal and Compliance teams to deliver comprehensive legal support.
  • •Manage outside counsel work product quality and budgets and support process/technology projects to improve legal organization service and efficiency.

Key Requirements

  • •Juris Doctorate (JD) from an accredited law school.
  • •10+ years of relevant legal experience focused on IP licensing (including patent licensing), joint development agreements, IP purchases/sales, and royalty-bearing agreements.
  • •Deep understanding of contract terms for creation and allocation of technology and IP rights, with sound legal and business judgment.
  • •Excellent negotiation skills, including experience leading negotiations.
  • •Licensed to practice law in California.
