Key Responsibilities

  • •Draft, review, and negotiate a wide range of commercial agreements (e.g., MSAs, SOWs, subscription/technology, software/SaaS, consulting, licensing, confidentiality, data processing, and marketing/distribution/referral agreements).
  • •Independently manage routine and moderately complex negotiations from intake through execution, identifying legal and business risks and proposing practical solutions.
  • •Determine when issues can be resolved within parameters versus when to escalate to the General Counsel or subject-matter experts.
  • •Design and improve Colibri’s contracting function and processes (intake, review, approvals, signature, storage, renewals, post-execution), including templates, clause libraries, playbooks, and escalation standards.
  • •Provide day-to-day supervision, coaching, and development to contract specialists and review/support their work on administration and routine negotiations.

Key Requirements

  • •Juris Doctor from an accredited law school.
  • •Active membership in good standing in at least one U.S. state bar.
  • •Approximately 5–8 years of relevant legal experience drafting and negotiating commercial agreements (law firm and/or in-house).
  • •Substantive experience negotiating data processing agreements and privacy/data-protection provisions, with working knowledge of GDPR and U.S. state privacy requirements.
  • •Experience using a contract lifecycle management system and AI-enabled contract review/drafting/analysis tools, plus experience supervising and mentoring contract specialists or paralegals.
