Key Responsibilities

  • •Structure and model economics for complex multi-year strategic partnerships and commercial agreements, including tiered pricing, royalty/buyout mechanics, and milestone-gated terms.
  • •Run the operational cadence of deal execution by tracking issues, sequencing cross-functional workstreams, and maintaining alignment from term sheet through signature.
  • •Partner with Legal on contract negotiation and redlines, including IP infringement representations, indemnity structures, license grant structure, and liability caps.
  • •Support revenue recognition for multi-element arrangements and build revenue forecasts by customer segment and product line using deal assumptions and pipeline activity.
  • •Lead fundraising operational support, including cap table modeling, SAFE conversion and round structuring analysis, data room and diligence request tracking, and investor/board materials.

Key Requirements

  • •6-10+ years in investment banking, corporate development, venture/growth equity, strategic finance, or related transactional finance (startup/scale-up preferred).
  • •Proven experience structuring and negotiating complex, multi-year commercial agreements.
  • •Fluency in venture financing mechanics including SAFEs, priced rounds, cap tables, and liquidation preferences, with comfort supporting live fundraising.
  • •Working knowledge of revenue recognition (ASC 606) and translating contract terms into financial and accounting outcomes.
  • •Strong financial modeling skills to build from scratch in ambiguous, fast-changing situations, plus ability to drive cross-functional workstreams.
