Key Responsibilities

  • •Provide day-to-day legal counsel on complex ERISA and employee benefits matters, including qualified retirement plans and health and welfare plans.
  • •Draft and review plan documents, amendments, summary plan descriptions, trust agreements, and participant-facing communications.
  • •Advise on benefit plan governance and fiduciary responsibilities, including Benefits Committee support, claims and appeals strategy, and board resolutions.
  • •Manage responses to IRS, DOL, and PBGC audits, investigations, and agency inquiries; monitor legislative and regulatory developments.
  • •Support M&A transactions by identifying benefits-related liabilities and risks and assisting with post-close benefits integration strategy.

Key Requirements

  • •Juris Doctor (law degree) from an accredited law school and an active license to practice law in at least one U.S. jurisdiction.
  • •5–7 years of legal experience focused on ERISA, qualified retirement plans, and health and welfare benefits.
  • •Experience handling sophisticated benefits matters, including qualified retirement plans and health and welfare plans (e.g., ACA, HIPAA, COBRA).
  • •Able to work independently, exercise sound judgment, manage multiple matters, and clearly communicate complex issues to business clients and senior management.
  • •Proficiency with Microsoft Office suite; ability to manage outside counsel relationships is required.
