Key Responsibilities

  • •Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters, within agreed turnaround times.
  • •Act as the primary day-to-day contact for clients and build trusted advisor relationships with investment funds and asset managers.
  • •Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
  • •Collaborate with and mentor junior lawyers and paralegals by reviewing their work and contributing to team culture.
  • •Support continuous improvement of Carta’s legal technology suite by identifying ways to innovate with AI-backed tools.

Key Requirements

  • •6–8+ PQE and a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
  • •Licensed to practice law in any APAC jurisdiction.
  • •Experience in transactional law and familiarity with financial services (asset managers, investment banks, or similar).
  • •Communicate legal advice crisply and build relationships with sophisticated financial services clients.
  • •Comfortable working with and evolving legal technology tools (e.g., AI tools, HighQ).
