Key Responsibilities

•Manage filings with the Securities and Exchange Commission, including annual and quarterly reports on Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Forms S-8, and Section 16 filings, ensuring compliance with SEC and NYSE rules.
•Advise senior management on disclosure matters, coordinating reviews of earnings, press releases, presentations and major internal communications.
•Serve as Assistant Secretary, leading Board-related processes, governance advice, agenda development, minutes, and coordination of shareholder meetings.
•Advise on executive compensation matters, including incentive plans and equity administration.
•Lead legal support for corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and coordinating due diligence with internal teams and outside counsel.

Pay and Benefits

Salary: USD 280,000 - 320,000 annually

•12+ years in corporate and federal securities law and corporate transactions with increasing levels of responsibility
•J.D. and admission to the New York bar in good standing

•Ability to lead governance for a public company, oversee board and committee processes, and manage external counsel
