Key Responsibilities

  • •Run deal intake for infrastructure transactions by gathering site specs, counterparty structure, commercial terms, and timing, and preparing structure review and term-sheet inputs for lead sign-off.
  • •Analyze service versus lease characterization, entity structure, and contract tax provisions, escalating judgment calls to the Infrastructure Tax lead.
  • •Build and maintain after-tax deal economics models, including bonus depreciation, NOL utilization, and scenario analysis, and ensure tax assumptions are accurate across approval packages.
  • •Prepare tax-side inputs for technical accounting and support datacenter entity structures across jurisdictions, including documentation, withholding analysis, permanent establishment analysis, and debt-versus-equity characterization.
  • •Coordinate transfer pricing support and prepare quarterly provision inputs; draft and maintain infrastructure tax playbooks, issue-spotting checklists, and internal trackers.

Key Requirements

  • •JD or CPA required; LL.M. in Taxation or MST is a plus.
  • •Experience supporting entity structures across multiple jurisdictions, including contemporaneous documentation and collaboration with local finance, legal, and accounting teams.
  • •Working knowledge of cross-border withholding, permanent establishment analysis, and debt-versus-equity characterization.
  • •Track record of owning discrete workstreams on capital-intensive deals from intake through post-close with limited supervision.
  • •Strong written and verbal communication, including analysis that a tax lead can review and sign off quickly.
