Key Responsibilities

  • •Own executive compensation sections of the annual proxy (CD&A, compensation tables, Pay Versus Performance, CEO pay ratio) and coordinate related filings and disclosures with Legal.
  • •Run the Compensation Committee calendar and develop market assessments, pay recommendations, plan design proposals, and scenario modeling for each meeting.
  • •Maintain governance and administer stock ownership guidelines, clawback policy, and anti-hedging/anti-pledging policies.
  • •Design and evaluate executive annual and long-term incentive programs, including metric selection, calibration, payout modeling, and effectiveness assessment with recommendations.
  • •Administer executive equity awards and build/maintain recurring executive compensation models and templates to reduce cycle time using automation/AI tooling.

Key Requirements

  • •Bachelor’s degree in an applicable specialty (e.g., HR, Finance, Business) or equivalent experience; professional compensation certification is preferred.
  • •8+ years of compensation experience, including executive compensation and incentive design at a publicly traded company, owning at least one complete proxy and Compensation Committee cycle end-to-end.
  • •Understanding of executive compensation regulatory framework, including Section 16, 162(m), 409A, 280G, ASC 718, and Rule 10D-1.
  • •Experience evaluating incentive effectiveness, modeling alternatives, and recommending enhancements to improve outcomes.
  • •Advanced Microsoft skills (Excel, Power BI, SharePoint, Power Automate) and demonstrated judgment handling highly confidential information.
