Job Summary

Provide comprehensive corporate legal support across securities, tender offers, mergers and acquisitions, and corporate governance. Partner with internal teams on global expansion, company capitalization, and employee equity/executive compensation programs. Own process and template improvements for transactional and governance matters, support the corporate insurance program, and manage external counsel. Work closely with the Corporate Legal team to keep minute books, subsidiary records, and board materials in excellent shape across jurisdictions.

Key Responsibilities

•Provide legal support across corporate securities matters, mergers and acquisitions, and corporate governance including board and stockholder actions and communications.
•Support global expansion by working with a global entities team and local counsel to grow the business worldwide.
•Advise on company capitalization matters including executing share transfers and managing employee equity and executive compensation programs.
•Create and improve processes, agreements, and document templates for transactional and governance matters.
•Support corporate insurance programs and manage external counsel while maintaining minute books and subsidiary records across jurisdictions.

Pay and Benefits

Salary: USD 190,000 - 290,000 annually

Key Requirements

•4+ years of corporate legal experience, ideally with venture-backed or high-growth technology companies.
•Experience supporting corporate transactions including venture financings, secondary transactions, and acquisitions (cross-border experience is a plus).
•Fluency in equity and cap table management, including understanding mechanics and spotting issues early.
•A Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar.
•Excellent written and verbal communication skills, able to interact confidently with investors, executives, and cross-functional partners.
