Key Responsibilities

  • •Provide legal support for the launch and operation of impact initiatives, advising on structuring, regulatory requirements, partner due diligence, participant terms, data/privacy, and local compliance.
  • •Lead international structuring and governance work, including registration/restructuring of entities, board documentation, and governance structures for audits and independence considerations.
  • •Manage strategic carve-out and migration legal workstreams, overseeing compliant transfer of contracts, IP, personal data, accounts, and operational obligations, and drafting transition-related agreements.
  • •Draft, review, and negotiate international agreements for donations, grants, sponsorships, services, partnerships, licensing/IP, vendor agreements, NDAs, and project terms/policies.
  • •Monitor regulatory developments and manage legal risk across non-profit operations, including KYC/AML/sanctions screening and third-party due diligence, while coordinating external counsel.

Key Requirements

  • •8+ years of professional legal experience with strong expertise in contract drafting and negotiation, corporate governance, non-profit regulation, and legal structuring.
  • •Experience on international legal projects involving non-profit organizations, charitable initiatives, cross-border contracting, and legal risk management across multiple jurisdictions.
  • •Ability to advise on charitable activities and transactions including donations, grants, sponsorships, partnerships, and project-based operations.
  • •Track record coordinating external legal counsel and service providers across jurisdictions, ensuring quality, consistency, and practical timeliness.
  • •Degree in Law from a recognized university; professional fluency in written and spoken English.
