•Advise clients on M&A transactions, including share and asset purchases, disposals, and restructuring.
•Draft, review, and negotiate transactional documents such as SPAs, shareholders’ agreements, and subscription agreements.
•Conduct and oversee legal due diligence and identify transactional risks.
•Structure deals in compliance with Singapore regulatory frameworks and liaise with regulators, counterparties, and external counsel.
•Support private equity and venture capital investments and provide general corporate advisory including governance and compliance matters.

Key Requirements

•Qualified lawyer in Singapore (called to the Singapore Bar) or common law jurisdiction (e.g., UK, AU) depending on firm requirements.
•Typically 2–8+ years PQE in corporate/transactional practice.
•Strong experience in M&A, capital markets, or corporate finance.
•Strong drafting, negotiation, and communication skills.
•Ability to handle multiple transactions simultaneously in a fast-paced, deal-driven environment.
