Job Summary

Provide high-quality legal advice across Ocado Group on commercial, procurement, and transactional matters in the UK and internationally. Draft, negotiate, and advise on technology and hardware procurement, IT procurement and cloud/SaaS licensing, IP and data protection agreements, logistics and customer contracts, and compliance issues including competition/antitrust. Lead commercial legal aspects of key projects (including corporate and capital markets transactions), mentor junior counsel, and liaise with external counsel.

Key Responsibilities

•Deliver high-quality legal advice on commercial, procurement, and transactional matters across Ocado Group (UK and internationally), mentoring junior team members.
•Draft, negotiate, and provide expert advice on technology and hardware procurement arrangements, IT procurement (cloud service providers, SaaS and IT licences), and related agreements.
•Advise on IP matters (collaboration agreements, licensing and cross-licensing) and data protection matters (data protection agreements and advice).
•Support drafting and negotiation of Ocado Solution Platform customer contracts, and help on construction, engineering, and product delivery arrangements.
•Lead commercial legal aspects of key projects (including corporate and capital markets transactions), manage external counsel, and provide training/legal updates to the business.

Key Requirements

•Qualified solicitor or barrister with specialism in commercial contracts/transactions with 4+ years PQE (or equivalent ability to perform).
•Experience advising on commercial and technology transactions, including technology and hardware procurement arrangements.
•In-depth experience drafting, negotiating, and advising on domestic and cross-border commercial contracts for technology investments, engineering and IT procurement, and licensing (including SaaS subscription agreements and logistics/distribution agreements).
•Experience working with senior management, operating with broad latitude in complex environments.
•Strong academic qualifications and ideally experience training with a leading law firm or in-house team focused on commercial and technology transactions.
