Key Responsibilities

  • •Lead M&A execution, managing legal aspects of acquisitions, divestitures, and strategic investments from LOI through closing and post-closing integration.
  • •Draft and negotiate transaction documents including purchase and merger agreements, ancillary agreements, and board/stockholder consents.
  • •Coordinate due diligence with Finance, Compliance, Risk, Product, and Engineering to assess deal risks and structure protections.
  • •Advise on corporate structure and support entity formation/structuring for international expansion with local counsel.
  • •Support regulatory approvals for M&A change-of-control filings and handle general corporate legal matters as needed.
