Key Responsibilities

  • •Serve as lead internal legal counsel on mergers, acquisitions, divestitures, investments, and strategic transactions from diligence through closing and post-closing matters.
  • •Draft, review, and negotiate transaction documents including NDAs, LOIs, term sheets, stock and asset purchase agreements, merger agreements, and disclosure schedules.
  • •Lead and manage legal due diligence workstreams across corporate governance, commercial contracts, litigation, compliance/regulatory, employment and benefits, IP, data privacy, real estate, and financing.
  • •Own deal timelines, legal workplans, and closing checklists; coordinate stakeholders to resolve legal issues proactively.
  • •Prepare transaction-related materials for Board/committee review and support corporate approvals, plus assist with entity formation and process improvements.

Key Requirements

  • •J.D. from an accredited law school.
  • •Active membership in good standing with at least one U.S. state bar (or eligibility for in-house registration).
  • •4–6 years of M&A and transactional experience gained at a law firm, in-house legal department, or a combination.
  • •Demonstrated ability to independently run deals and interface directly with senior business leadership.
  • •Meaningful transactional experience with the ability to draft and negotiate core deal documentation and lead legal due diligence.
