Key Responsibilities

  • •Lead legal activities related to structuring, negotiation, and documentation of minority venture capital investments.
  • •Provide post-closing legal support to assist with managing the venture capital portfolio.
  • •Lead legal activities for negotiation and execution of financing transactions (including parent company bank debt, joint venture project financings, and capital markets issuances).
  • •Advise management and internal clients on legal rights, obligations, agreements, and applicable statutory or similar requirements for financing transactions.
  • •Assist law management and other attorneys by identifying and examining relevant law and facts, and liaise with outside counsel to negotiate and document transactions.

Key Requirements

  • •Juris Doctorate (or equivalent) and current admission to general practice before the highest court of the state or country of citizenship/residency.
  • •Minimum 7 years of Project VC experience.
  • •Experience combining law firm and in-house work handling VC transactions.
  • •Demonstrable experience working directly with clients from VC transaction inception to completion.
  • •Hands-on experience structuring, drafting, negotiating, and leading VC transactions in a first or second chair capacity.
