Job Summary

Advise on corporate finance and strategic transactions across revolving credit facilities, asset-backed term loans, and structured finance—from term sheet through closing. Draft, review, structure, and negotiate term sheets and definitive agreements, manage due diligence and closing logistics, and support post-closing covenant compliance. Partner closely with Finance and Corporate Development as well as Cloud Sales, Digital Infrastructure, and Commercial while presenting complex legal concepts clearly to non-legal stakeholders.

•Execute corporate financing and capital markets transactions, driving deals independently with guidance from the AGC.
•Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements and security packages.
•Support due diligence and manage document flow and closing logistics across outside counsel and internal teams.
•Support ongoing covenant compliance post-closing.
•Coordinate cross-functionally with Finance and Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial, presenting complex legal concepts clearly.

Key Requirements

•Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.
•7–10 years of transactional legal experience with complex corporate and finance transactions in a top-tier law firm or in-house legal department.
•Expertise drafting, structuring, and negotiating loan or other financing documentation with strong attention to risk allocation and deal structure.
•Strong working knowledge of corporate governance and compliance best practices.
•Ability to manage multiple high-stakes workstreams in a fast-paced environment while handling sensitive and confidential information professionally.
