Join the Capital Markets Legal Team to support Global Capital Markets transactions for public and private debt issuances. Advise internal stakeholders and partner groups on securities laws, SEC/FINRA rules, and related regulatory risks. Draft, review, and negotiate transaction documentation (including 144A/Reg S, private placements, and liability management) and stay current on market and legal developments while helping train business units on regulatory changes.

Key Responsibilities

•Provide legal advice to internal stakeholders originating and underwriting public and private debt securities issuances.
•Review, draft, and negotiate transaction documentation for capital markets transactions including public offerings, 144A/Reg S, private placements, and liability management.
•Partner with front office teams to support real-time execution of capital markets transactions.
•Advise business units and support partners (e.g., Compliance, Risk Management) on securities laws, SEC/FINRA rules, and related risks.
•Stay abreast of market, legal, and regulatory developments and help train business units on legal risks and regulatory changes.

Pay and Benefits

Salary: USD 148,495 - 174,700 annually
