Key Responsibilities

  • •Serve as a key member of the small Legal Team supporting international government and commercial businesses.
  • •Provide legal review and guidance on proposals, procurement, contracting strategies, and day-to-day program execution for an applicable division.
  • •Execute and negotiate international contracts (license, hardware, services, offset/industrial cooperation) and lead or assist in key negotiations.
  • •Ensure compliance with laws, regulations, and policies, partnering with International Trade Compliance on export licensing strategy and ITAR/EAR/sanctions requirements.
  • •Collaborate with business and program teams on follow-on opportunities, including deal structuring terms (governing law, arbitration, sovereign immunity waivers, payment security, and Incoterms).

Key Requirements

  • •3+ years of work on international government contracts, defense trade, or U.S. government contracts matters (law firm, defense industry, or government experience preferred).
  • •Understanding of international defense contracting, particularly FMS and DCS (or hybrid structures), including software acquisition approaches and data rights.
  • •Ability to make risk-adjusted decisions and own multiple projects end-to-end across deals and unexpected legal issues.
  • •Strong communication and interpersonal skills.
  • •Licensed to practice law in CA, with U.S. citizenship and ability to obtain and maintain a U.S. security clearance.
