  • •Lead the most complex corporate securities matters, including secondary sales and tender offers.
  • •Own and lead strategic mergers and acquisitions end-to-end.
  • •Drive corporate governance and board advisory, including board and stockholder actions and communications.
  • •Oversee capitalization and share transfers, and manage employee equity and executive compensation programs.
  • •Mentor and develop attorneys while designing processes, agreements, and AI-enabled ways of working for transactional and governance matters.

Key Requirements

  • •8+ years of corporate legal experience, ideally with venture-backed or high-growth technology companies and strong in-house background.
  • •Deep experience leading corporate transactions, including venture financings, secondary transactions, and acquisitions, with cross-border experience preferred.
  • •Strong equity and cap table management fluency, including understanding investor rights and cap table mechanics.
  • •A Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar.
  • •Experience advising at senior levels with pragmatic, risk-aware judgment, and a demonstrated ability to lead initiatives and mentor others.
