Key Responsibilities

  • •Serve as a primary legal adviser for investment banking deal teams and senior business stakeholders on M&A advisory and capital markets transactions.
  • •Draft, review, and negotiate transaction documentation, including M&A engagement letters and capital markets underwriting agreements.
  • •Advise business partners on deal structuring and own legal risk positioning, including regulatory, reputational, and conflicts-of-interest considerations.

Key Requirements

  • •Juris Doctor (J.D.) from an accredited law school.
  • •Active bar admission in at least one U.S. jurisdiction.
  • •5+ years of relevant transactional legal experience, including corporate and M&A transactions.
  • •Demonstrated experience with capital markets transactions, including credit agreements and related loan documentation.
  • •Strong drafting and negotiation skills with the ability to issue-spot and manage multiple matters concurrently.
