Key Responsibilities

  • •Assist in the planning and execution of mergers and acquisitions, venture financings, and stock administration, including maintaining complex data rooms.
  • •Prepare and maintain corporate governance records and documentation such as entity formations/dissolutions and board or stockholder minutes and consents.
  • •Track and complete entity annual reports, business license renewals, and other governance matters as needed.
  • •Support equity transactions including stock certificate administration and required securities filings.
  • •Coordinate document executions such as notarizations, apostilles, and fingerprinting with the executive team.

Pay and Benefits

Salary: USD 112,000 - 149,000 annually

Key Requirements

  • •At least 4 years of relevant experience in corporate governance, entity management, and M&A.
  • •Bachelor’s degree and a paralegal certificate.
  • •Demonstrated accuracy and thoroughness, with the ability to work independently and as part of a team.
  • •Ability to manage internal client requests and inquiries from affiliated entities, solving practical problems independently.
  • •Proficiency with productivity and management tools including Airtable, Slack, DocuSign, Adobe, SharePoint, Jira, CT Corp, hCue, and CSC.
