Job Summary

Serve as lead counsel and thought leader for PayPal’s capital markets transactions supporting consumer lending and credit products. Advise on debt and structured finance executions such as asset-backed securitizations and warehouse lending, and ensure securities law compliance for registered and exempt offerings. Partner with Treasury, Finance, Risk, and Legal to structure financings, manage disclosures and reporting obligations, oversee outside counterparties, and monitor regulatory developments affecting capital markets activity.

Key Responsibilities

•Provide strategic legal advice and support to senior management, influencing business strategy and decision-making.
•Anticipate and manage regulatory and legal risks, including compliance risk assessments and forward-looking risk management strategies.
•Serve as lead counsel on debt and structured finance transactions, including asset-backed securitizations, warehouse lending facilities, and forward flow agreements.
•Advise on securities law compliance for registered and exempt offerings, including Rule 144A/Reg S and Regulation AB for ABS issuances, plus disclosure and reporting obligations.
•Manage transaction counterparties and escalations, coordinating with outside counsel and local counsel across relevant jurisdictions, while monitoring regulatory developments (SEC/CFPB and others).

Salary: USD 218,000 - 323,950 annually

Key Requirements

•J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
•10+ years of capital markets legal experience, ideally including structured finance/ABS/debt capital markets work at a top-tier law firm and potentially in-house at a bank or fintech.
•Demonstrated experience with consumer loan securitization or asset-backed finance, including familiarity with credit card ABS, personal loan ABS, or BNPL-related financing structures.
•Working knowledge of the regulatory environment governing fintech-bank partnerships, including bank partnership lending models and originating bank partner roles.
•Strong drafting skills and experience managing complex, multi-party transaction processes under time pressure.
