Key Responsibilities

  • •Advise private equity sponsors, strategic buyers and their advisors on transactional risk insurance solutions
  • •Review purchase agreements, disclosure schedules, diligence reports and transaction documentation to identify underwriting considerations and coverage issues
  • •Coordinate the underwriting process with leading insurance carriers from initial marketing through policy binding
  • •Analyze legal and commercial risks associated with mergers and acquisitions across a broad range of industries
  • •Draft and negotiate policy terms and facilitate discussions between insurers and transaction parties

Key Requirements

  • •J.D. from an accredited law school; 3-5 years of experience practicing corporate/M&A law at a nationally recognized law firm
  • •Strong experience negotiating and drafting acquisition agreements and supporting private M&A transactions
  • •Excellent analytical and oral communication skills; ability to manage multiple active transactions
  • •Proven self-starter with responsibility mindset; client advisory experience in complex transactions
  • •Ability to attain a Broker’s License within 90 days of employment
