Key Responsibilities

  • •Provide expert legal advice on public company and securities matters, including compliance with the Securities Exchange Act of 1934, Securities Act of 1933, and NYSE listing standards.
  • •Draft and review SEC filings (10-K, 10-Q, 8-K, Section 16 forms) and proxy statements; advise on earnings releases, guidance, and investor communications under Regulation FD.
  • •Administer insider trading compliance, including the insider trading policy and Rule 10b5-1 trading plans; develop and implement corporate and securities compliance policies and processes.
  • •Support corporate governance by preparing board materials, drafting resolutions and board minutes, and monitoring evolving governance standards.
  • •Assist with strategic transactions including M&A and capital markets activities; research and interpret laws, identify legal risk, structure and negotiate legal documents.

Key Requirements

  • •Bachelor's degree required and completion of accredited Law School with a J.D.
  • •Typically 8+ years of prior experience with mastery knowledge of securities/public company law.
  • •Licensed attorney admitted to practice in Virginia, North Carolina, or Maryland (or satisfy reciprocity/corporate counsel admission requirements).
