Job Summary

Drive legal entity governance and post-close oversight for acquired and existing entities, translating M&A integration requirements into sustainable, business-as-usual governance routines. Manage documentation and governance forums, issue tracking, risk and dependency management, and process improvement to support regulatory expectations and AXP governance standards. Partner across M&A, Business, Risk, Compliance, Technology, and Legal Entity teams to define integration milestones, exit criteria, and transition to BAU.

Key Responsibilities

•Design, implement, and operate an effective Legal Entity Governance framework for acquired entities aligned with AXP governance standards and local regulatory requirements.
•Streamline and document governance routines that support risk identification, control design, issue management, and PRSA/RCSA-related requirements.
•Support Third-Party Lifecycle Management (TLM) and outsourcing governance, including vendor risk assessments, issue closure, ongoing monitoring, and adherence to third-party risk requirements.
•Partner with M&A, Business, Risk, Compliance, Technology, and Legal Entity teams to deliver post-close governance, integration milestones, exit criteria, and transition-to-BAU requirements.
•Identify, track, and escalate integration risks, dependencies, issues, and decisions through governance forums; prepare governance materials and lead working groups.

Key Requirements

•Experience in M&A integration, post-close governance, legal entity governance, operational excellence, compliance, operational risk, or regulatory oversight (experience across multiple areas preferred).
•Strong understanding of governance frameworks, risk and control management, issue management, PRSA/RCSA methodologies, and control testing expectations.
•Experience supporting regulated or acquired entities, or complex business transformation initiatives with multiple stakeholders and dependencies.
•Experience in business process improvement, control design, documentation, governance routines, and development of practical operating models.
•Strong written and verbal communication skills, including preparing materials for senior management and governance committees.
