Key Responsibilities

  • •Independently draft, review, negotiate, and manage a high volume of commercial agreements within contracting playbooks, approvals, and risk tolerances.
  • •Lead negotiations for SaaS order forms, terms of service, MSAs, DPAs, SLAs, amendments/renewals/trials, AI-related terms, and termination agreements.
  • •Review and negotiate vendor/supplier/service-provider agreements and coordinate with Procurement, Privacy, Security, Finance, and business owners.
  • •Act as a primary point of contact between Legal and business stakeholders on contract structure, risk allocation, negotiation strategy, approvals, and escalation paths.
  • •Maintain contract records and manage end-to-end workflow in Ironclad and related systems, using AI/legal tech tools to improve review efficiency and reporting.

Key Requirements

  • •5+ years negotiating and managing commercial technology agreements, preferably in a high-growth SaaS/technology company.
  • •Ability to independently manage customer-facing SaaS negotiations (master agreements, subscription terms, DPAs, SLAs, and related documents).
  • •Experience reviewing technology vendor and procurement agreements.
  • •Strong commercial judgment to distinguish material risk and apply contracting playbooks and escalation recommendations.
  • •Excellent written and verbal communication plus strong organizational skills managing a large, changing portfolio with limited supervision.
