Job Summary

Commercial counsel to join Drata’s Legal Department with a heavy focus on commercial transactions, SaaS privacy matters, and governance. Provide pragmatic, risk-aware legal advice to internal stakeholders, draft and negotiate a wide range of agreements, maintain templates, and scale contracting processes across East Coast/UK teams in a fast-paced SaaS environment.

Key Responsibilities

•Draft, review, and negotiate a variety of agreements including commercial transactions, SAs, DPAs, NDAs, and other matters with domestic and international parties
•Assist in management and maintenance of standard contract templates and playbooks to streamline contracting and mitigate risk
•Ensure compliance with security/privacy regulations, governance requirements, and regulatory standards
•Proactively address evolving regulatory environment and industry best practices
•Provide oversight and leadership for all legal needs of the business across functions

Key Requirements

•5+ years of experience (in house or law firm), 3+ years of relevant SaaS commercial experience
•Proven ability to identify and manage risk and provide practical, results-oriented legal advice that supports business objectives
•Excellent negotiating skills with a track record of handling complex business and legal issues in a fast-paced, technology-driven environment
•Experience negotiating B2B SaaS, specifically in software security and compliance
•Startup experience is highly desirable and experience building/leading in-house legal teams is a plus
