Key Responsibilities

  • •Support corporate governance requirements, including corporate forms, filings, and business/professional licensing and registrations.
  • •Draft corporate resolutions, organize board meetings, maintain corporate records, and advise directors on governance obligations.
  • •Monitor and advise on corporate law matters and regulatory requirement changes to ensure compliance.
  • •Draft, review, and negotiate corporate contracts, with focus on government/public sector agreements and related documents (e.g., leases, joint ventures, SaaS).
  • •Support dispute management activities including claims/debt recovery and litigation matters, working with external counsel as needed.

Key Requirements

  • •Current Bar admission in good standing as a qualified attorney.
  • •5-7 years of US corporate law and government/public sector contracts experience, including public sector procurement and FOIA requests.
  • •Experience supporting legal matters in a professional services environment delivering project-related (architectural/engineering) services.
  • •Strong knowledge of construction industry and construction law (insurance requirements, roles/responsibilities, separation of scopes).
  • •Experience with litigation and dispute resolution, including handling subpoenas and depositions.
