Job Summary

Advise on major corporate and project-level debt financings and strategic transactions, executing deals from term sheet through closing and supporting covenant compliance. Draft and negotiate financing term sheets and definitive agreements, manage due diligence and closing logistics, and support entity formations and intercompany transactions. Partner cross-functionally across Finance, Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial, presenting complex legal concepts clearly to legal and non-legal stakeholders.

Key Responsibilities

•Execute corporate financing and capital markets transactions from term sheet through closing, advising on contract terms and legal/business risks.
•Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, parent guarantees, and security packages.
•Support due diligence and manage document flow and closing logistics across outside counsel and internal teams.
•Support ongoing covenant compliance post-closing.
•Assist with entity formations, intercompany transactions, and maintain organized deal files and standardized templates; coordinate cross-functionally with Finance, Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial.

Key Requirements

•Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.
•7-10 years of transactional legal experience across complex corporate and finance transactions (top-tier law firm or in-house).
•Expertise drafting, structuring, and negotiating loan or other financing documentation with strong attention to risk allocation and deal structure.
•Strong corporate governance and compliance best practices knowledge.
•Ability to manage multiple high-stakes workstreams and handle highly sensitive, confidential information professionally.
