•Serve as an independent director, maintaining independence in fact and appearance free from interfering relationships
•Chair either the Audit Committee or the Governance, Risk and Compliance Committee, as determined by the Board
•If Audit Committee chair: oversee integrity/accuracy of financial statements and regulatory disclosures, internal controls, internal audit function, and external auditors
•If Governance, Risk and Compliance Committee chair: provide board-level oversight of corporate governance framework, enterprise risk management, regulatory compliance, and compliance/ethical standards
•Ensure SEC regulatory compliance for financing companies; attend board and committee meetings and act as liaison with SEC regulators and auditors

Key Requirements

•Strong working knowledge of SEC regulations applicable to financing companies and non-bank financial institutions
•Prior experience as an independent director or audit committee chair/member, or as a senior executive/auditor/regulator/advisor in an SEC-regulated entity
•Familiarity with regulatory reporting, examinations, and SEC compliance expectations
•Established professional credibility and industry relationships in financial services, meeting SEC independence and fit-and-proper requirements
•No material relationship with the company, its management, controlling shareholders, or affiliates that could impair independence
