Key Responsibilities

  • •Act as a trusted legal partner and primary contact, driving datacenter-related agreements to signature (e.g., LOIs, MSAs, order forms, ancillary agreements).
  • •Draft, review, and negotiate datacenter contracts for leasing, colocation, design/build, facilities/operations and maintenance, and infrastructure procurement (e.g., GPUs and datacenter equipment).
  • •Collaborate with datacenter procurement, engineering and operations, finance, tax, and compliance teams on deal structuring.
  • •Provide counseling on risk allocation and supplier risk/performance remediation matters.
  • •Support international expansion with jurisdiction adaptations and local-counsel coordination, and build reusable legal tools (templates, playbooks, approval matrices) to speed contracting.

Key Requirements

  • •Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. state.
  • •8+ years of legal experience and 3+ years of significant in-house experience supporting datacenter or similar large-scale infrastructure projects.
  • •Proven experience negotiating datacenter contracts as a developer/provider or tenant, including single-tenant and/or colocation lease structures.
  • •Experience with facilities agreements and operations-and-maintenance contracts.
  • •Familiarity with datacenter operational requirements (e.g., SLAs, maintenance windows, security requirements, audit rights, change control, service credits), including tax incentives and financing structures.
