Job Summary

Lead the Board of La Fosse’s Employee Ownership Trust and protect the long-term interests of employee beneficiaries as the company scales. Chair Trust Board meetings, set agendas, and ensure decisions are timely, documented, and governed in line with Trust Deed and Articles of Association. Provide independent oversight and constructive challenge to the Executive Board, including fiduciary, governance, and conflict-of-interest responsibilities.

Key Responsibilities

•Chair Trust Board meetings, set clear agendas, and ensure informed, timely, and properly documented decisions.
•Provide independent leadership to keep the Trust independent from company management while maintaining a constructive relationship with the Executive Board.
•Protect employee interests by ensuring the Trust safeguards the long-term interests of employee owners and that employee feedback/sentiment influences Trust Board decisions.
•Provide oversight and constructive challenge to the Executive Board where decisions may not align with employee beneficiaries’ best interests.
•Ensure strong governance and compliance by operating in line with the Trust Deed, Articles of Association, reserved matters, relevant documentation, and applicable legal/tax requirements.

Key Requirements

•Significant board-level experience with sound judgement and the confidence to challenge senior leaders constructively.
•Previous experience operating as a Board Chair, Senior Independent Director, Experienced Non-Executive Director, or Trustee/adviser within an employee-owned organisation.
•Strong understanding of fiduciary responsibilities, shareholder governance, and the role of an independent board.
•Experience of Employee Ownership Trust structures, Trust Deeds, or Employee Ownership Association frameworks (highly valuable).
•Be genuinely independent from La Fosse (no current or recent role as an owner, director, or employee) and be a UK tax resident as required of all Trustees.
