Key Responsibilities

  • •Lead private company financings, secondary transactions, M&A, strategic investments, and other corporate transactions from structuring through closing.
  • •Advise the General Counsel on Board and committee matters, including Board reporting, meeting materials, resolutions, minutes, and governance/transaction approvals.
  • •Manage legal aspects of fundraising, investor diligence, shareholder matters, and ongoing corporate governance.
  • •Own legal oversight of Snorkel’s equity plans and equity administration, including grants, exercises, transfers, approvals, and related documentation.
  • •Oversee corporate formations, subsidiaries, entity governance/compliance, and corporate legal workstreams for international expansion.

Pay and Benefits

Salary: USD 260,000 - 380,000 annually

Key Requirements

  • •J.D. and active membership in good standing in at least one U.S. jurisdiction.
  • •10+ years of relevant corporate legal experience in private practice and/or in-house.
  • •Significant experience advising venture-backed companies on private financings, M&A, corporate governance, and strategic transactions.
  • •Strong knowledge of U.S. corporate and securities law for high-growth private companies.
  • •Experience with equity compensation, cap tables/capitalization records, and corporate governance, including managing subsidiaries and entity compliance.
