Key Responsibilities

  • •Serve as the primary legal advisor on federal, state, and local legal issues for the company and affiliates.
  • •Act as Corporate Secretary to the Holding Company and Bank Boards of Directors.
  • •Oversee all legal advice to the Holding Company and Bank; manage company-wide litigation and outside counsel relationships.
  • •Monitor and interpret changes in applicable federal, state, and local law, and oversee internal investigations involving legal/ethical matters.
  • •Oversee preparation of board materials (books, resolutions, minutes) and partner with Compliance, Risk, and Internal Audit on compliance framework and regulatory exam responses.

Key Requirements

  • •J.D. from an accredited law school required.
  • •10+ years prior in-house or law firm legal practice experience advising financial institutions required.
  • •Active Bar Admission license to practice law in at least one U.S. jurisdiction upon hire required.
  • •Active Bar Admission license to practice law in the state where the individual’s office will be located within 180 days required.
  • •Proven leadership and stakeholder-management skills with strategic legal advisory experience at a senior level.
