Job Summary

Own the day-to-day contract lifecycle for sophisticated investment fund and asset manager clients, negotiating and managing high volumes of pre-M&A agreements. Serve as the primary client contact, maintain client playbooks for consistent negotiations, and mentor junior lawyers and paralegals. Partner with the team to improve Carta’s legal technology suite, using AI-backed tools to drive efficiency and innovation.

Key Responsibilities

•Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, engagement letters) while adhering to turnaround times.
•Act as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
•Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
•Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
•Contribute to continuous improvement of Carta’s legal technology suite by identifying ways to innovate using AI-backed tools.

Salary: CAD 157,600 - 197,000

Key Requirements

•6-8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
•Licensed to practice law in the Americas (US/Canada).
•Experience working with financial services firms such as asset managers and investment banks.
•Tech-savvy and comfortable working with and evolving a legal technology suite (e.g., AI tools, HighQ).
•Commercially minded, client-focused, able to communicate legal advice crisply and build trusted relationships.
